Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at eldostech.com and the Schemora platform (the "Services"), provided by Eldos Tech LLC ("Eldos Tech", "we", "us"). By using the Services, you agree to these Terms.

1. The Services

Schemora provides AI-assisted data integration capabilities, including field-level mapping, payload transformation, and SQL dialect translation. Specific features available to you depend on your plan and any separate order or agreement.

2. Eligibility & accounts

You must be able to form a binding contract and use the Services on behalf of an organisation you are authorised to represent. You are responsible for the activity under your account and for keeping credentials and API tokens secure.

3. Acceptable use

You agree not to: (a) use the Services unlawfully or to infringe others' rights; (b) attempt to disrupt, reverse engineer, or gain unauthorised access to the Services; (c) exceed documented rate limits or circumvent security controls; or (d) upload content you do not have the right to process.

4. Customer data

You retain all rights to the schemas, queries, documents, and other content you submit ("Customer Data"). You grant us a limited licence to process Customer Data solely to provide and support the Services. Our handling of personal data is described in our Privacy Policy.

5. AI-generated output

The Services use AI to propose mappings, transformations, and translations. Output may be imperfect and is provided for your review. You are responsible for verifying output before relying on it, particularly in production or regulated environments. Mappings and transformations marked as unverified or low-confidence require human review.

6. Fees

Paid plans are billed as described on our Pricing page or in your order. Fees are non-refundable except as required by law or expressly stated. We may change pricing on renewal with reasonable notice.

7. Intellectual property

The Services, including all software, content, and trademarks (other than Customer Data), are owned by Eldos Tech or its licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services.

8. Confidentiality

Each party may receive confidential information from the other. The receiving party will protect it with reasonable care and use it only to perform under these Terms.

9. Warranties & disclaimers

The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, or consequential damages. Our total liability arising out of or relating to these Terms will not exceed the greater of the fees you paid to us in the 12 months before the event giving rise to the claim, or US$100.

11. Term & termination

These Terms apply while you use the Services. We may suspend or terminate access for breach of these Terms or to protect the Services. You may stop using the Services at any time; certain provisions survive termination.

12. Governing law

These Terms are governed by the laws of the State of Maryland, USA, without regard to conflict-of-laws rules. The state and federal courts located in Maryland have exclusive jurisdiction, except where applicable law provides otherwise.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date, and where required we will notify you. Continued use after changes take effect constitutes acceptance.
